Scope of Work

This proposal includes only the services, deliverables and inclusions outlined within the approved scope.

Any additional requests, amendments, functionality, deliverables or services not expressly included within this proposal will be considered outside the agreed scope and will be quoted separately or billed at the applicable hourly rate.

Fees & Payment Terms

All fees are quoted in Australian Dollars (AUD) and are exclusive of GST unless otherwise stated.

A tax invoice will be issued upon acceptance of this proposal.

Full payment is required prior to final delivery, handover or the project going live (where applicable).

Society by Design reserves the right to withhold final files, website publication, or project handover until payment has been received in full.

Additional Services & Out of Scope Work

Any additional work requested outside the approved scope, including but not limited to:

  • Additional pages or layouts

  • Additional revisions

  • Design variations

  • Website updates

  • Branding extensions

  • Copywriting

  • Strategic consulting

  • Marketing advice

  • SEO recommendations

  • Technical troubleshooting

  • Meetings outside the agreed scope

will be charged at the following rates:

  • Director Consulting: $300 + GST per hour

  • Website & Digital Support: $220 + GST per hour

A minimum charge of 30 minutes applies.

Approval will always be obtained prior to commencing additional work.

Revisions

Unless otherwise stated, proposals include up to two (2) rounds of revisions.

Any revisions beyond those included, or changes that significantly alter the approved brief or previously approved work, will be treated as additional work and billed at the applicable hourly rate.

Meetings

Project meetings include up to 30 minutes unless otherwise specified within the proposal.

Additional meetings or meetings exceeding the allocated time will be billed at the applicable hourly rate.

Timeline & Client Delays

Project timelines are estimates only and are dependent upon:

  • Timely client feedback and approvals

  • Receipt of all required content and assets

  • Payment being received in accordance with the agreed payment terms

Society by Design is not responsible for delays resulting from:

  • Late feedback or approvals

  • Incomplete or delayed content

  • Changes to the project scope

  • Delayed payment

Project timelines may be adjusted accordingly.

Client Responsibilities

The client agrees to:

  • Provide clear and timely feedback

  • Supply all required content, imagery and supporting information

  • Ensure all supplied materials are accurate and legally compliant

  • Obtain any necessary permissions or licences for supplied assets

Intellectual Property

Upon receipt of full payment, ownership of the final approved deliverables transfers to the client.

Society by Design retains ownership of all concepts, working files, templates, design methodologies, proprietary processes and any unused concepts unless otherwise agreed in writing.

Society by Design reserves the right to display completed work within its portfolio, website, social media and marketing material.

Third-Party Services

Where applicable, third-party platforms, software, hosting, plugins, stock imagery or subscriptions remain subject to their own terms and pricing.

Society by Design is not responsible for:

  • Changes made by third-party providers

  • Platform limitations or outages

  • Subscription fees

  • Ongoing account management unless included within an active maintenance agreement

Custom Development

Any custom coding, CSS, JavaScript, API integrations, third-party integrations or advanced website functionality falls outside the standard scope of work and will be scoped and quoted separately prior to commencement.

Cancellation & Suspension

Should the project be cancelled after work has commenced, the client will be invoiced for all work completed up to the cancellation date.

Society by Design reserves the right to suspend work where invoices remain unpaid beyond their due date.

Limitation of Liability

Society by Design shall not be liable for any indirect, incidental or consequential loss arising from the use of the deliverables or any third-party platforms associated with the project.

Acceptance

Acceptance of this proposal, either by signed approval or written confirmation via email, constitutes acceptance of the scope of work, investment and these Terms & Conditions.
